Version: 28/08/2026 · v2 · Effective from: 28/08/2026 · Performance-based partnership for shared growth

1. Eligibility and approval

The applicant needs an active Clientlly account with a verified email and Clientlly approval. A paid subscription is not required to apply. The code, link, and materials activate only after approval. Free Starter is granted only after the first qualified referred customer pays.

2. Standard commission

The programme pays 20% of qualifying net subscription payments for a maximum of 12 paid months per referred customer. No lifetime commission is offered.

3. Qualified customer

The customer must be new to Clientlly, use the Partner’s valid referral link or code, complete a paid subscription, and not be owned or controlled by the Partner.

4. Referral attribution

A referral is normally attributed for 90 days after a valid click. Clientlly keeps the first valid attribution and may reject manipulated, duplicated, or self-referrals.

5. Commission base

Commissions arise only from subscription funds actually received, after applicable discounts and excluding taxes, refunds, credits, chargebacks, fraudulent, cancelled, or unpaid amounts.

6. Approval and payouts

Commissions remain pending during review and become payable only after approval. Every positive approved balance is paid once per month, by the 10th day of the following month, exclusively by bank transfer and with no minimum threshold. Clientlly uses OUR charges and covers transfer fees so the Partner receives the full approved commission. Paddle and Stripe do not execute Partner payouts; Clientlly records payment only after the bank transfer is completed.

7. Taxes and obligations

The Partner is responsible for declarations, invoices, taxes, duties and other obligations arising from their earnings. Clientlly may withhold amounts where required by law.

8. Prohibited conduct

Self-referrals, misleading claims, spam, impersonation, brand misuse, paid advertising on Clientlly brand terms without permission, fake accounts, and manipulation of attribution or commissions are prohibited.

9. No guaranteed earnings and limitation of liability

Participation does not guarantee income, customers, availability or uninterrupted service. To the extent permitted by law, Clientlly is not liable for indirect losses or a referred customer’s cancellation; mandatory legal liability is not excluded.

10. Suspension and termination

Clientlly may review, suspend or terminate participation and void unpaid commissions connected with fraud, breach, refund, chargeback, illegality or material programme abuse.

11. Changes to the terms

Material changes are published with a new version and may require renewed acceptance before further participation. Previously accrued valid commissions remain governed by the programme snapshot recorded when they arose.

12. Privacy and records

For security, dispute resolution and audit purposes, Clientlly stores the terms version and language, acceptance time, privacy-preserving IP hash, content hash and programme snapshot.
